Important: Please read these Terms carefully. By registering for, accessing, or using Fluide Business, you agree to be bound by these Terms.
These Terms of Service ("Terms") govern your access to and use of the Fluide Business platform, website business.fluidegroup.com, and related services (collectively, the "Service") provided by Fluide Group SAS ("Fluide," "we," "us," or "our").
Fluide Business is a unified business and financial management platform where organizations manage people, payroll, books, stock, payments, finance, reports, workflows, operational records, and trust from one connected workspace. Access and available capabilities may vary based on subscription level, organization type, team size, user roles, permissions, and operating needs.
If you enter into these Terms on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Key notice: Fluide is a technology platform. Banking, lending, payment, insurance, protection, capital, pension, investment, or other regulated services referenced in the Service may be offered through duly licensed partners where required and are subject to applicable laws, verification, affordability, product rules, and partner requirements. Fluide does not guarantee financing, credit approval, insurance coverage, investment returns, or any financial outcome.

Contact Information
1. Definitions
"Client" means any organization, including an SME, startup, NGO, fund, portfolio company, financial institution, cooperative, or other entity, that registers for or uses Fluide Business.
"Client Data" means any data, information, files, records, documents, or content that Client or its Authorized Users upload, submit, create, process, or store using the Service, including operational records, payroll records, financial records, stock records, payment records, reports, documents, workflow activity, audit logs, and trust signals.
"Authorized User" means an individual, including an employee, contractor, administrator, Virtual Manager, or other person, who is granted access to the Service by Client.
"Workspace" means the Client's organization environment in Fluide Business, including connected capabilities, roles, permissions, records, reports, workflows, and settings.
"Virtual Manager" means a Fluide Certified independent professional who may be granted permissioned access to a Client workspace when authorized by the Client.
"Licensed Partner" means a bank, microfinance institution, payment provider, insurer, pension provider, lender, investment provider, or other regulated entity that offers regulated products or services through or in connection with the Fluide ecosystem where required by law.
"Fluide" means Fluide Group SAS, a simplified joint stock company (SAS) registered in the Republic of Cameroon.
2. Eligibility and Account Registration
2.1 Eligibility
You must be a legal entity or an individual at least 18 years old with legal capacity to enter into binding contracts. By using the Service, you represent that you meet these requirements.
2.2 Account Registration
You must provide accurate, complete, and current registration information. You are responsible for maintaining account credentials, keeping contact information current, and notifying us immediately of unauthorized account use.
2.3 Organization Responsibilities
You are responsible for configuring your organization profile, subscription, roles, permissions, approval rules, and workspace settings. You are responsible for the accuracy, legality, and completeness of data entered into the Service by you or your Authorized Users.
2.4 Authorized Users
You may invite Authorized Users to your workspace. You are responsible for their actions, permissions, and compliance with these Terms. You may revoke access at any time.
3. Use of the Service
3.1 Access Right
Subject to these Terms, Fluide grants you a non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes.
3.2 Unified Workspace
Fluide Business provides a connected workspace for business and financial management. Your subscription level, team size, organization type, role-based access, and operating needs determine what capabilities, workflows, and support levels are available to your workspace.
3.3 Service Availability
We use commercially reasonable efforts to make the Service available. We do not guarantee uninterrupted, error-free, or always-available operation. Any uptime targets, service levels, or dedicated support commitments apply only if stated in a separate written agreement or enterprise order form.
3.4 Support
Fluide provides support through email, in-app channels, and other published channels. Support levels may vary by subscription plan.
3.5 Changes to Capabilities
We may improve, modify, replace, or remove features, workflows, or capabilities from time to time. We will use reasonable efforts to notify Clients of material changes that significantly affect core paid functionality.
4. Data Ownership and Privacy
4.1 Client Owns Client Data
You retain all rights, title, and interest in and to Client Data. Fluide does not claim ownership of Client Data.
4.2 Processing of Client Data
Fluide processes Client Data as necessary to provide, secure, maintain, support, and improve the Service, comply with legal obligations, prevent abuse, and follow Client instructions.
4.3 Data Accuracy
You are responsible for ensuring that payroll records, financial records, stock records, payment records, employee records, compliance records, reports, documents, and operational records entered into the Service are accurate, lawful, complete, and properly authorized.
4.4 Privacy Policy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
4.5 Security
Fluide implements reasonable administrative, technical, and organizational safeguards to protect Client Data. No security measure is perfect or impenetrable. You are responsible for using strong passwords, managing permissions, revoking access when needed, and protecting your devices and credentials.
4.6 Data Export and Deletion
Upon termination, Fluide will delete, return, or anonymize Client Data within a commercially reasonable period, generally within 90 days, unless longer retention is required by law, contract, backups, audit requirements, dispute resolution, or legitimate business needs.
5. Fees and Payments
5.1 Subscription Fees
Access to the Service may be subject to subscription fees based on your plan, workspace size, organization type, user count, usage, or enterprise agreement. Fees are shown on the Pricing page, order form, invoice, or applicable agreement.
5.2 Payment Terms
Fees are billed according to the applicable plan or order form. Late payments may result in suspension or restriction of access after notice where required.
5.3 Taxes
You are responsible for taxes, duties, levies, and similar government charges imposed on fees, excluding taxes based on Fluide's net income.
5.4 No Refunds
Except as required by law or stated in a written agreement, fees are non-refundable.
6. Third-Party Services and Regulated Products
6.1 Licensed Partners
Where financial, payment, insurance, protection, capital, lending, pension, investment, or other regulated services are offered, they may be provided through duly licensed partners where required. Your relationship with a Licensed Partner may be governed by separate terms, eligibility criteria, privacy policies, product rules, and regulatory requirements.
6.2 Responsible Finance Language
Fluide may help Clients organize verified records, operational records, payroll records, payment records, reports, and trust signals that support finance readiness. Eligibility for any finance, lending, insurance, investment, or protection product depends on verification, affordability, product rules, partner requirements, and applicable laws. Fluide does not guarantee approval, pricing, coverage, limits, returns, or outcomes.
6.3 Payment Workflows
Payment links, collections, disbursements, settlement tracking, and reconciliation workflows may involve third-party processors, mobile money providers, banks, or other licensed partners. Fluide is not responsible for partner outages, reversals, failed settlements, chargebacks, regulatory restrictions, or third-party processing decisions outside Fluide's control.
6.4 Integrations and APIs
The Service may connect with third-party systems, APIs, or partner tools at your request. Your use of those integrations may be subject to third-party terms. You are responsible for managing API credentials and authorized connections.
7. Virtual Managers
7.1 Independent Professionals
Fluide Certified Virtual Managers are independent professionals, not employees or agents of Fluide. You may choose to hire or authorize a Virtual Manager through the Service.
7.2 Client Authorization and Revocation
You control whether a Virtual Manager can access your workspace, what they can see, and what actions they can perform. Access may include levels such as View Only, Prepare Only, Submit for Approval, Limited Operator, Full Capability Manager, or Admin Delegation where appropriate. You may revoke access at any time.
7.3 Accountability
Virtual Manager actions are logged for accountability. You remain responsible for supervising, reviewing, approving, or rejecting work performed in your workspace.
7.4 No Guarantee of Virtual Manager Performance
Fluide may provide certification pathways and marketplace access, but we do not guarantee the performance, accuracy, availability, integrity, or suitability of any Virtual Manager. To the fullest extent permitted by law, Fluide is not liable for acts or omissions of independent Virtual Managers.
8. Intellectual Property
8.1 Fluide Intellectual Property
The Service, including software, design, workflows, interfaces, logos, trademarks, content, and platform technology, excluding Client Data, is owned by Fluide or its licensors. You may not copy, modify, reverse engineer, resell, sublicense, or create derivative works of the Service except as permitted by law or written agreement.
8.2 Feedback
If you provide suggestions, ideas, or feedback, you grant Fluide a worldwide, perpetual, royalty-free license to use that feedback without restriction or obligation.
9. Acceptable Use and Prohibited Conduct
You agree not to, and not to permit any Authorized User or third party to:
Use the Service for any illegal, fraudulent, harmful, or unauthorized purpose.
Upload or process data without appropriate legal authority, consent, or rights.
Enter false, misleading, or fraudulent payroll, financial, payment, operational, compliance, or identity information.
Attempt to gain unauthorized access to Fluide systems, another Client workspace, or third-party systems.
Interfere with the integrity, security, availability, or performance of the Service.
Bypass permissions, approval workflows, audit logs, rate limits, or security controls.
Upload malware, harmful code, or content that infringes third-party rights.
Use the Service for spam, abusive communications, harassment, or unlawful discrimination.
Use the Service to provide regulated banking, lending, insurance, investment, pension, or payment services unless you are duly licensed and authorized to do so.
Violation of this section may result in suspension, termination, reporting to authorities, or legal action.
10. Suspension and Termination
10.1 Termination by You
You may terminate your account by contacting support@fluidegroup.com, subject to any active subscription, payment, or enterprise agreement.
10.2 Suspension or Termination by Fluide
We may suspend or terminate access if you breach these Terms, fail to pay fees, create security or legal risk, misuse the Service, violate acceptable use rules, or where required by law, partner requirement, court order, or regulatory authority.
10.3 Effect of Termination
Upon termination, your right to use the Service ceases. Data handling after termination is described in Section 4.6. Provisions that by their nature should survive termination will survive, including ownership, fees owed, disclaimers, limitations of liability, indemnification, and dispute resolution.
11. Disclaimers
The Service is provided "as is" and "as available" to the fullest extent permitted by law. Fluide disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, or specific results.
Fluide does not warrant that:
The Service will be uninterrupted, always secure, or error-free.
Any information entered by Clients or Authorized Users will be accurate.
Reports, dashboards, trust signals, finance readiness indicators, or workflow outputs will produce a specific financial, regulatory, operational, or business result.
Financial or regulated products offered by third parties will be approved, available, affordable, or suitable for you.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Fluide, its affiliates, directors, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of data, business interruption, loss of goodwill, or costs of substitute services.
Fluide's total aggregate liability for claims arising out of or relating to these Terms or the Service will not exceed the amount paid by you to Fluide during the twelve months preceding the event giving rise to the claim, unless a different limit is required by applicable law or stated in a written agreement.
Because Fluide is a technology platform and does not directly provide regulated products unless duly authorized, Fluide is not liable for decisions, acts, omissions, terms, pricing, denials, delays, coverage decisions, partner requirements, or regulatory restrictions of Licensed Partners.
13. Indemnification
You agree to indemnify, defend, and hold harmless Fluide, its affiliates, officers, directors, employees, contractors, and agents from claims, liabilities, damages, losses, costs, and expenses arising out of or related to:
Your use of the Service.
Your Client Data.
Your breach of these Terms or applicable law.
Your configuration of roles, permissions, approvals, and workspace settings.
Your payroll, financial, tax, compliance, payment, operational, or reporting records.
Your dispute with any Authorized User, Virtual Manager, Licensed Partner, customer, employee, contractor, regulator, or third party.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the Republic of Cameroon and applicable OHADA law, without regard to conflict of law principles, unless another governing law is required by a separate written agreement or mandatory applicable law.
14.2 Dispute Resolution
The parties will first attempt to resolve disputes through good-faith negotiation. If a dispute is not resolved within 30 days, it may be submitted to competent courts or arbitration in Douala, Cameroon, as permitted by applicable law and any written agreement between the parties.
14.3 Equitable Relief
Either party may seek injunctive or equitable relief to protect intellectual property, confidential information, security, or data rights.
15. Changes to the Service or Terms
We may update these Terms from time to time. If we make material changes, we will provide notice by email, in-app notice, or posting on the website where required. Continued use of the Service after the effective date means you accept the updated Terms.
We may also modify the Service to improve performance, security, compliance, usability, or business needs. We will use reasonable efforts not to materially reduce core paid functionality during an active subscription term without notice or appropriate remedy where required.
16. General Provisions
16.1 Entire Agreement
These Terms, the Privacy Policy, applicable order forms, and any written enterprise agreement form the entire agreement between you and Fluide regarding the Service.
16.2 Severability
If any provision is invalid or unenforceable, the remaining provisions remain in effect.
16.3 Waiver
Failure to enforce a provision is not a waiver of that provision.
16.4 Assignment
You may not assign these Terms without our prior written consent. Fluide may assign these Terms in connection with a merger, acquisition, financing, restructuring, or sale of assets.
16.5 Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, civil unrest, labor disputes, internet outages, cloud provider failures, power outages, governmental action, or regulatory restrictions.
16.6 Electronic Communications
You consent to receive communications electronically, including account notices, service updates, security alerts, invoices, and legal notices.
